New York Independent Contractor Agreement

This New York Independent Contractor Agreement (the "Agreement") is made and entered into as of the ____ day of _______________, 20__, (the "Effective Date") by and between _________________________, with a principal place of business located at _________________________________________ (the "Company") and __________________________, an independent contractor, with a mailing address of _____________________________________ (the "Contractor").

WHEREAS, the Company desires to engage the Contractor to perform certain services, and the Contractor agrees to render such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Services: The Contractor agrees to perform the services described in Exhibit A attached hereto and made a part of this Agreement (the "Services"). The manner and means of performing these Services shall be determined and controlled solely by the Contractor, subject to the Company's general right of review and acceptance of the final results of the Services rendered.
2. Term: This Agreement shall commence on the Effective Date and shall continue in effect until _________________, 20__, unless sooner terminated as provided herein.
3. Compensation: As full compensation for the Services rendered pursuant to this Agreement, the Company shall pay the Contractor a total fee of $______________, payable upon the completion of the Services. Any additional compensation must be agreed upon in writing by both parties.
4. Expenses: The Contractor shall be responsible for all expenses incurred while performing the Services under this Agreement.
5. Confidentiality: The Contractor agrees to keep all proprietary information of the Company confidential and shall not disclose it to any third party without the prior written consent of the Company.
6. Termination: Either party may terminate this Agreement at any time by providing ____ days' written notice to the other party.
7. Independent Contractor Status: The Contractor is an independent contractor, and nothing in this Agreement shall be deemed to create an employer-employee relationship between the Contractor and the Company. The Contractor is not entitled to any benefits provided to the Company's employees and is solely responsible for the payment of all taxes and social security contributions arising from the compensation paid under this Agreement.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to the principles of conflicts of law.
9. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral, relating to such subject matter.
