New York General Power of Attorney
This General Power of Attorney is established by the undersigned, _________ (hereinafter referred to as the "Principal"), currently residing at ____________, in the State of New York, empowering _________ (hereinafter referred to as the "Agent"), currently residing at ____________, to act in the Principal's behalf in matters as specified below, subject to the terms and conditions set forth herein.
In compliance with the New York General Obligations Law, Article 5, Title 15, this document grants the Agent general authority to perform any act the Principal could perform personally, with the consideration that such actions adhered to by the Agent on behalf of the Principal are within the boundaries set by the laws of New York State. This General Power of Attorney shall become effective immediately upon its execution and shall remain in effect indefinitely unless a specific termination date is herein provided: _________, or until it is revoked by the Principal.
Third Party Reliance
Third parties may rely upon the representations of the Agent as to all matters relating to any power granted to the Agent. The Principal agrees to indemnify and hold harmless any third party for actions taken in good faith and without malice based on the representations of the Agent exercising the powers granted by this Power of Attorney.
Revocation
The Principal may revoke this General Power of Attorney at any time by providing written notice to the Agent and to any third party who has, or who is in the process of, relying upon the powers granted herein.
Governing Law
This document is governed by and shall be construed in accordance with the laws of the State of New York.
